END USER LICENSE AGREEMENT – INNERYATRA APP

THIS END USER LICENSE AGREEMENT ("AGREEMENT") GOVERNS YOUR USE OF THE LICENSED APPLICATION (AS DEFINED BELOW).

IMPORTANT: READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE LICENSED APPLICATION. INNERYATRA LIMITED ("INNERYATRA", "WE", "US", or "OUR") IS WILLING TO PROVIDE YOU ("YOU" or "YOUR") A LICENSE TO THE LICENSED APPLICATION ONLY IF YOU ACCEPT ALL TERMS OF THIS AGREEMENT. THIS AGREEMENT IS A LEGAL AND ENFORCEABLE CONTRACT BETWEEN YOU AND INNERYATRA. BY CLICKING "I ACCEPT," OR OTHERWISE SIGNIFYING ACCEPTANCE, OR ACCESSING OR USING THE LICENSED APPLICATION, YOU AFFIRM THAT THIS AGREEMENT CONSTITUTES A WRITTEN CONTRACT BETWEEN YOU AND INNERYATRA, YOU HAVE READ, UNDERSTOOD AND AGREED TO BE BOUND BY ITS TERMS.

IF YOU DO NOT AGREE TO ALL THE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE LICENSED APPLICATION.

This Agreement is solely between You and Inneryatra Limited, not with Apple, Inc., Google LLC, or any other marketplace provider. Inneryatra Limited is solely responsible for the Licensed Application and its contents thereof.

1. Definitions

  • Authorized User(s): Individuals authorized by the Subscriber to use the Service, having received access credentials from the Subscriber (or an authorized Inneryatra reseller). May include family members, associates, etc. All Authorized Users are bound by this Agreement.
  • Confidential Information: All information provided by one party (“Disclosing Party”) to the other (“Receiving Party”) that is designated as confidential or reasonably understood as such, including the Service, application, content, product designs, company know-how, or user data. Confidential Information does not include information that is publicly available, received independently, or required by law to be disclosed.
  • User Data: Data submitted, stored, uploaded, or processed by You, including personal information, preferences, feedback, or any content relating to your use of Inneryatra services and experiences.
  • Force Majeure Event: Events outside the reasonable control of either party such as pandemics, acts of God, governmental acts, natural disasters, or failures of the internet or third-party services.
  • Licensed Application: Inneryatra's proprietary mobile or web software offered under this Agreement.
  • Malicious Code: Viruses, malware, trojans, or other code intended to disrupt, damage, or gain unauthorized access.
  • Service: The online, web-based, or app-based spiritual wellness, education, and ritual experience services made available via the Inneryatra platform.
  • Subscriber: The individual who has obtained valid access to the Service (for example, by purchasing a subscription).
  • User Guide: Any instructions, handbooks, or guides made available by Inneryatra.

2. License

Subject to this Agreement, Inneryatra grants You a limited, non-sublicensable, revocable license to use the Licensed Application solely to access the Service during your valid subscription term, on a device owned or controlled by You or an Authorized User.

Use must comply with this Agreement and the terms of any platform provider (such as Apple App Store or Google Play). You remain responsible for any charges from your mobile carrier.

3. Use of the Service

  • You must ensure that all User Data submitted to the Service is accurate and that its submission does not violate any law.
  • You will use commercially reasonable efforts to prevent unauthorized access and immediately notify Inneryatra of any unauthorized use.
  • You must comply with all applicable local, national, and international laws regarding your use of the Service.
  • Prohibited behaviors include:
    • Reselling, distributing, sublicensing, renting, or making the Service available to third parties except to Authorized Users.
    • Submitting unlawful, threatening, infringing, or offensive content.
    • Transmitting Malicious Code.
    • Interfering with the Service’s operations or security.
    • Attempting unauthorized access to the Service or Inneryatra's systems.

4. Proprietary Rights

  • The Licensed Application is licensed — not sold — to You. All rights, title, and interest remain with Inneryatra.
  • You will not:
    • Modify, copy, or create derivative works of the Licensed Application.
    • Reverse engineer, disassemble, or attempt to extract source code except as permitted by law.
    • Use the Service or Application to create a competing service or product.
  • User Data remains Yours. Inneryatra may use User Data solely to provide services or as allowed by law.
  • All intellectual property rights in and to the App including but not limited to all software code, design, graphics, contents, trademarks, logos and documentation are and shall remain the exclusive property of Inneryatra. You or all shall claim no right over it, whatsoever.

5. Confidentiality

  • Both parties agree to protect the other’s Confidential Information with reasonable care.
  • Disclosure is only allowed as required by law or for fulfilling obligations under this Agreement.
  • If disclosure is compelled by law, the Receiving Party will notify the Disclosing Party where legally permitted.

6. Warranties and Disclaimers

  • You represent you are an Authorized User and your data complies with all laws.
  • The Licensed Application is provided “AS IS” with no warranties, including merchantability, fitness for a particular purpose, or non-infringement.
  • Inneryatra does not warrant uninterrupted or error-free operation.

7. Disclaimer of Damages

To the maximum extent permitted by law, Inneryatra and its affiliates will not be liable for indirect, incidental, special, or consequential damages. In no event will Inneryatra’s total liability exceed INR 4,000 (approx. $50 USD) or as required by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Inneryatra and its affiliates from any third-party claims, losses, or damages arising from:

  • Your (or Authorized Users’) breach of this Agreement,
  • Your violation of any law,
  • Your infringement of third-party intellectual property rights,
  • Your breach of confidentiality obligations.

9. Termination

  • This Agreement terminates automatically if your subscription ends or your access is revoked.
  • On termination, you must cease using the Licensed Application.
  • Provisions on confidentiality and liability survive termination.

10. Third-Party Platforms and Content

If you access the Service via Apple, Google, or other third parties, those providers are not parties to this Agreement and have no responsibility for the application or services.

11. Data Privacy

Your use of the app is subject to Inneryatra’s Privacy Policy available at https://inneryatra.com/privacy . By using the Services, you consent to data collection, use, and storage as described therein.

12. Governing Law; Venue

This Agreement is governed by the laws of the National Capital Territory of Delhi, India. Disputes will be resolved exclusively in the courts of New Delhi. You confirm you are not under sanctions or embargo restrictions.

13. Accessibility

Inneryatra aims to make its content accessible to all users. For feedback or requests, email info@inneryatra.com with the subject line “Disabled Access.”

14. Severability

If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect.

15. Waiver

Any waiver must be in writing and signed. Failure to enforce a provision does not waive any rights.

16. General

This is the entire agreement between You and Inneryatra regarding the Licensed Application. It may only be amended in writing, signed by Inneryatra. Inneryatra’s obligations are excused to the extent delayed by a Force Majeure Event.
